Terms of Service

1. Agreement to Terms

By accessing or using Arda ("the Service"), operated by Arda AI, Inc. ("Arda," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Arda is an AI-powered photo analysis platform. Users upload photos, and the Service extracts structured data including mood, scene type, location, time of day, and other visual signals. Users can search their photo libraries using natural language.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activity under your account.

4. User Content

You retain ownership of the photos and content you upload to the Service ("User Content"). By uploading User Content, you grant Arda a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, create derivative works from, distribute, publicly display, and process your User Content in connection with operating, developing, providing, promoting, and improving the Service, and researching and developing new ones.

This license includes the right to use User Content to train, improve, and develop machine learning models, AI systems, and related technologies that power current and future Arda products and services. Where User Content is used for model training or development purposes, it may be incorporated in de-identified or aggregated form.

This license continues even if you stop using the Service, to the extent your User Content has been incorporated into models, aggregated datasets, or derivative works prior to deletion. Deleting your account or specific content removes it from active storage and your library, but does not require reversal of model training or deletion from derivative works already produced.

You represent and warrant that you own or have the necessary rights, licenses, and permissions to grant the above license for any content you submit, and that your content does not violate the rights of any third party.

5. Photo Acquisition Program

The Photo Acquisition Program allows users to contribute photos in exchange for compensation. Participation is voluntary and governed by separate terms presented at the time of enrollment.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload content that is illegal, harmful, or violates the rights of others
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Use automated systems to access the Service beyond normal usage
  • Resell, sublicense, or redistribute access to the Service

7. Subscription and Billing

Arda offers a free tier and a paid Premium subscription. Premium subscriptions are billed monthly at the rate displayed at the time of purchase.

You may cancel your subscription at any time. Upon cancellation, you retain access to Premium features through the end of your current billing period. No refunds are provided for partial billing periods.

We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8. Intellectual Property

The Service, including its design, features, AI models, and underlying technology, is owned by Arda and protected by intellectual property laws. Nothing in these Terms grants you any right to use the Arda name, logo, or trademarks without prior written consent.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI-generated analysis results are approximations and may contain inaccuracies. Arda does not guarantee the accuracy, completeness, or reliability of any analysis output.

10. Limitation of Liability

To the maximum extent permitted by law, Arda shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. You may request a copy of your data prior to account deletion.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
