Terms of Service

Important

ARDA offers an evidence-based outside perspective, not professional advice or a judgment of your worth. AI output and ratings can be incomplete or wrong. You remain responsible for your decisions and for seeking qualified or emergency help when needed.

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and ARDA AI, INC. ("ARDA," "we," "us," or "our"). They apply when you access ardaapp.com, join the waitlist, participate in a beta, or use the ARDA iPhone application and related services (collectively, the "Service").

By using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and legally able to enter this agreement. The initial Service is designed primarily for adults in the United States and may not be available in every location or language.

3. What ARDA provides

ARDA is an iPhone app that may provide a guided Life Audit, Life Profile, overall and domain ratings, confidence, accepted evidence, goals, commitments, plans, history, notifications, and AI-supported conversation.

Features may be free, paid, experimental, beta, changed, suspended, or discontinued. We may set reasonable limits to protect the Service, comply with law, or manage capacity.

4. App license and Apple terms

The ARDA app is licensed, not sold. Unless ARDA provides a custom end-user license agreement through Apple, Apple’s Standard End User License Agreement applies to your license to use the iOS app. These Terms govern the ARDA account, website, content, features, and related services. Apple’s agreement controls to the extent it applies specifically to the app license and conflicts with these Terms.

5. Accounts and security

You agree to provide accurate account information, keep your credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless applicable law provides otherwise.

You may not create an account for someone else without authorization or use the Service to secretly assess, monitor, or profile another person.

6. Your information and content

You retain ownership of information and content you provide ("User Content"). You give ARDA a limited, non-exclusive license to host, store, reproduce, transmit, analyze, format, and display User Content only as reasonably needed to provide, secure, support, and improve the Service, comply with your instructions, and meet legal obligations.

This license ends when the relevant content is deleted except for limited backup, security, legal, or de-identified operational records described in the Privacy Policy. ARDA does not claim ownership of your Life Audit answers, personal evidence, or private conversations.

You represent that you have the right to provide User Content and that doing so does not violate law or another person’s rights. Do not submit another person’s sensitive information unless you have a lawful basis and permission to do so.

7. AI, ratings, and evidence

AI-generated questions, summaries, plans, interpretations, and conversations may be inaccurate, incomplete, outdated, or unsuitable. Ratings describe the evidence available to ARDA under its current methodology. They are not objective facts about your worth, potential, character, intelligence, or future.

A rating may increase, decrease, remain unchanged, or become unavailable as evidence, confidence, methodology, or active domains change. ARDA may distinguish accepted evidence from conversation and may decline to change a rating when new information does not justify it.

You can use available tools to correct a fact, add information, or question an interpretation, and you can request deletion of specific evidence through the privacy process. ARDA does not guarantee that you will agree with every conclusion.

8. No professional or emergency services

ARDA does not provide medical, mental-health, legal, financial, investment, tax, employment, educational, relationship, or other licensed professional advice. The Service is not a diagnosis, treatment, crisis line, emergency monitor, fiduciary, or substitute for qualified human judgment.

Do not use ARDA for an emergency or where delay could cause harm. Contact local emergency services or an appropriate qualified professional. If you are in the United States and experiencing a mental-health crisis, you may call or text 988.

9. Acceptable use

You may not:

  • Use the Service unlawfully, fraudulently, abusively, or to harm, threaten, exploit, or harass another person.
  • Submit malware, attempt unauthorized access, disrupt the Service, evade limits, or interfere with security.
  • Scrape, copy, resell, rent, or commercially exploit the Service except through a written agreement with ARDA.
  • Reverse engineer or extract source code, models, system prompts, or non-public methodology except where law expressly permits.
  • Misrepresent AI output or an ARDA rating as a professional certification, clinical result, credit determination, employment assessment, or official judgment about another person.
  • Use automated systems to access the Service beyond documented or ordinary personal use.

10. Subscriptions and App Store billing

Some app features may require a paid subscription. If subscriptions are offered, the purchase screen will show the subscription name, included features, billing period, full renewal price, trial or introductory-offer terms, and other material conditions before purchase. Purchases made through Apple are also governed by Apple’s applicable payment and subscription terms.

You can manage or cancel an Apple-billed subscription through your Apple account settings. Refunds are handled under applicable law and Apple’s policies. Deleting the app or your ARDA account may not automatically cancel an active App Store subscription.

11. Beta features

Beta or pre-release features may be incomplete, unreliable, or changed without notice. Use them at your own risk and do not rely on them for important decisions. If a separate beta agreement applies, that agreement controls to the extent of a conflict.

12. ARDA intellectual property

ARDA owns the Service, software, design, branding, content we create, and underlying technology, excluding User Content and third-party materials. These Terms grant you a limited, personal, revocable, non-transferable right to use the Service in accordance with these Terms.

If you provide feedback, you allow ARDA to use it without restriction or compensation, provided we do not publicly identify you as the source without permission.

13. Third-party services

The Service may rely on or link to third-party services, including Apple, AI providers, infrastructure providers, or optional integrations. Their terms and privacy practices apply to their services. ARDA is not responsible for third-party services it does not control.

14. Suspension and termination

You may stop using the Service or request account deletion at any time. We may restrict or terminate access when reasonably necessary to address a violation, security risk, legal requirement, nonpayment, misuse, or discontinuation of the Service.

Sections that by their nature should survive termination, including ownership, disclaimers, limitations, and dispute provisions, will survive.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” ARDA DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

We do not guarantee that use of ARDA will improve a rating, achieve a goal, change behavior, or produce any particular personal, professional, health, financial, educational, or relationship outcome.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARDA AND ITS OFFICERS, EMPLOYEES, AFFILIATES, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, GOODWILL, OPPORTUNITY, OR PERSONAL OUTCOMES ARISING FROM THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARDA’S TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID ARDA FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE CLAIM OR US$100. Some jurisdictions do not allow certain limitations, so those limitations may not apply to you.

17. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, except where applicable consumer law requires otherwise. Any dispute not resolved informally will be brought in a court with lawful jurisdiction over the dispute.

18. Changes

We may update these Terms as the Service changes. We will update the date above and provide additional notice when legally required. If you do not agree to revised Terms, stop using the Service. Continued use after revised Terms take effect constitutes acceptance where permitted by law.
